IF the headers come with the x pipe, AND is meant for a 3" catback, then you should be good. If its meant to hook up to factory (2.75") then you may have an issue with the magnaflow catback... as it looks to be a full 3" setup.

If you have gen 2 heads then your mostly there. If your going to push it at all grab valve springs (like 400), and aftermarket secondary chains (roughly double price of stock's and worth peace if mind).
Ya ati balancer will balance out any other harmonics and keep engine smooth. Easier to oull...
